Terms and Conditions

1. Introduction and acceptance

These Terms and Conditions ("Terms") govern access to and use of the Cosmy platform ("Platform"), a product of Laizy S.r.l., a company incorporated under Italian law with registered office at Via Paolo da Cannobio 9, 20122 — Milan, Italy, VAT number IT04138990926 ("Laizy", "we", "us").

By registering for an account, accessing the Platform, or using any of its features, you ("User", "you") confirm that you are acting in a professional or commercial capacity on behalf of a business entity, and that you accept these Terms in full. If you do not accept these Terms, you must not use the Platform.

These Terms constitute a binding agreement between Laizy S.r.l. and the business entity you represent. They apply to the exclusion of any other terms you may seek to impose.

2. Eligibility

Access to Cosmy is restricted to businesses and professionals. By accepting these Terms, you represent and warrant that:

  • You are at least 18 years of age;

  • You have the legal authority to bind the business entity on whose behalf you are acting;

  • Your use of the Platform will comply with all applicable laws and regulations.

Cosmy is not intended for and may not be used by individual consumers acting outside of a professional or commercial capacity.

3. Account registration

To access the Platform, you must register for an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials;

  • All activity that occurs under your account;

  • Notifying us immediately at privacy@cosmy.ai if you suspect unauthorised access to your account.

Laizy reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in breach of these Terms.

4. Free trial

Laizy may, at its sole discretion, offer new users a free trial period providing access to all or part of the Platform's features at no charge. The following conditions apply to free trials:

  • The duration and scope of any free trial will be communicated at the time of registration;

  • Free trials are available once per business entity and may not be circumvented by registering multiple accounts;

  • Laizy reserves the right to modify, suspend, or discontinue free trial offerings at any time without notice;

  • Upon expiry of the free trial, continued access to the Platform requires purchasing credits in accordance with Section 5.

5. Pricing and billing

Cosmy operates on a usage-based pricing model. Access to analysis features is billed per ASIN analysed ("Credit"). The following terms apply:

  • Credits are purchased in advance and consumed each time an ASIN analysis is run;

  • Current Credit pricing is displayed in the Platform at the time of purchase;

  • All prices are exclusive of applicable taxes, including VAT, which will be added where required by law;

  • Credits are non-refundable once consumed;

  • Unused Credits may be subject to an expiry period as communicated at the time of purchase;

  • Laizy reserves the right to modify pricing with reasonable prior notice. Continued use of the Platform following a pricing change constitutes acceptance of the updated pricing.

Payments are processed by our third-party payment processor. By making a purchase, you authorise the processing of your payment in accordance with the applicable payment terms.

6. Acceptable use

You may use the Platform solely for lawful business purposes and in accordance with these Terms. You must not:

  • Use the Platform in any way that violates applicable laws or regulations, including data protection laws;

  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Platform;

  • Use automated tools, scripts, or bots to access the Platform in a manner that exceeds normal usage or places undue load on our infrastructure;

  • Resell, sublicense, or otherwise make the Platform available to third parties without Laizy's prior written consent;

  • Use the Platform to generate content intended to deceive, defraud, or mislead consumers or third parties;

  • Attempt to gain unauthorised access to any part of the Platform, its infrastructure, or the accounts of other users;

  • Upload or transmit any content that is unlawful, defamatory, harmful, or that infringes the intellectual property rights of any third party.

Laizy reserves the right to investigate suspected breaches of this section and to suspend or terminate access without notice where a breach is confirmed or reasonably suspected.

7. User-generated content

The Platform allows you to input ASINs, product URLs, and related data, and to save, export, or otherwise manage content generated by the Platform ("User Content"). With respect to User Content:

  • You retain ownership of any data and content you input into the Platform;

  • You grant Laizy a limited, non-exclusive, royalty-free licence to process your User Content solely for the purpose of delivering the Platform's services to you;

  • You are solely responsible for ensuring that your use of User Content, including any optimised listing copy generated by the Platform, complies with Amazon's terms of service and any applicable laws;

  • Laizy does not review User Content for accuracy, legality, or compliance and accepts no liability in connection with it.

8. Intellectual property

Laizy's intellectual property. All intellectual property rights in the Platform — including its software, algorithms, agents, scoring models, interfaces, and documentation — are and remain the exclusive property of Laizy S.r.l. These Terms do not grant you any rights in or to the Platform beyond the limited right to use it as expressly set out herein.

Output content. Subject to full payment of applicable Credits and your compliance with these Terms, optimised listing content generated by the Platform for your ASINs ("Output") may be used by you for your commercial purposes. Laizy does not claim ownership of Output. However, Laizy makes no warranties as to the originality, fitness for purpose, or commercial performance of any Output, and you use it at your own risk.

Third-party content. The Platform processes publicly available data from Amazon and other sources. You acknowledge that such third-party content may be subject to the intellectual property rights of third parties, and that Laizy provides no warranty or indemnification in connection with your use of such content.

9. Limitation of liability

To the fullest extent permitted by applicable law:

  • The Platform is provided "as is" and "as available". Laizy makes no warranties, express or implied, as to the accuracy, completeness, reliability, or fitness for a particular purpose of the Platform or any Output it generates;

  • Laizy does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components;

  • Laizy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of or inability to use the Platform, including but not limited to loss of revenue, loss of profit, loss of data, or damage to reputation, even if Laizy has been advised of the possibility of such damages;

  • Laizy's total aggregate liability to you under or in connection with these Terms shall not exceed the total amount paid by you to Laizy in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited under applicable Italian law.

10. Availability and modifications

Laizy will use reasonable efforts to maintain the availability of the Platform but does not guarantee uninterrupted access. Laizy reserves the right to:

  • Modify, suspend, or discontinue any feature or aspect of the Platform at any time;

  • Perform scheduled or emergency maintenance that may temporarily affect availability;

  • Update these Terms at any time. Material changes will be communicated by email or via a notice within the Platform. Continued use of the Platform following notification of changes constitutes acceptance of the updated Terms.

11. Termination

Termination by you. You may stop using the Platform at any time. To close your account, contact us at privacy@cosmy.ai. Unused Credits at the time of account closure are non-refundable unless otherwise required by applicable law.

Termination by Laizy. Laizy may suspend or terminate your access to the Platform immediately and without notice if:

  • You breach any provision of these Terms;

  • Your use of the Platform poses a risk to the security, integrity, or reputation of the Platform or other users;

  • You fail to pay any amounts due;

  • Laizy is required to do so by law or regulatory authority.

Effect of termination. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 7, 8, 9, and 12 — shall continue to apply.

12. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them — including non-contractual disputes — shall be governed by and construed in accordance with the laws of Italy.

The courts of Milan, Italy shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

13. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Laizy with respect to the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No waiver. Laizy's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.

Assignment. You may not assign or transfer your rights or obligations under these Terms without Laizy's prior written consent. Laizy may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

Language. These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
